1. Agreement to These Terms

By downloading, installing, or using AI Gardener ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

AI Gardener is operated by Sodalis AI LLC ("we," "us," or "our"), a Texas limited liability company.

2. Eligibility — Age Requirement

You must be at least 16 years old to use AI Gardener. In jurisdictions where the age of digital consent is lower than 16, users from age 13 may use AI Gardener with the consent of a parent or legal guardian, who agrees to be bound by these Terms on their behalf. By creating an account, you represent that you meet the applicable age requirement for your jurisdiction.

We do not knowingly allow underage users to create accounts. We reserve the right to terminate any account we have reason to believe does not meet the applicable age requirement.

3. Description of Service

AI Gardener is a mobile application that provides AI-powered gardening advice, plant care guidance, and personalised recommendations based on information you provide about your garden, location, and plants.

The App is provided as a consumer information tool. It is not a professional horticultural, agricultural, medical, veterinary, legal, or financial advisory service.

4. Scope of Service and Safety Hard Limits

AI Gardener is a gardening companion, not a professional advisory service. The App is designed to help you care for your plants. It will not provide guidance outside that scope.

4.1 Gardening Scope Only

AI Gardener provides gardening information only. Responses generated by the AI may be incomplete, outdated, or incorrect. Planting decisions, pest treatments, and use of garden chemicals must always be verified against authoritative horticultural sources and applicable local regulations before acting.

4.2 Toxicity and Exposure Emergencies

If a person or animal has ingested, inhaled, or had significant contact with a plant or chemical, do not rely on AI Gardener. Call emergency services immediately. The App will redirect you to emergency services and will not provide first aid advice, triage, or reassurance.

In the event of a potential poisoning emergency:
- Human exposure (US): Call Poison Control at 1-800-222-1222 or call 911.
- Pet or livestock exposure (US): Call the ASPCA Animal Poison Control Center at 888-426-4435 or your nearest emergency veterinarian.
- Outside the US: Contact your local emergency services or national poison control centre immediately.

Sodalis AI LLC expressly disclaims all liability for any harm arising from delay in seeking emergency assistance due to use of the App.

4.3 No Edibility or Foraging Identification

AI Gardener will not confirm whether any specific plant, mushroom, berry, or foraged item is safe to eat. Text-based or photo-based plant identification is not reliable enough for edibility decisions. For edibility questions, consult a local nursery, a certified master gardener, or a university extension service in person.

If you or a pet has already eaten an unidentified plant, mushroom, or berry, contact Poison Control, emergency services, or a veterinarian immediately. Do not wait for symptoms.

Sodalis AI LLC is not liable for any illness, injury, or harm arising from consumption of plants, mushrooms, or foraged items based on any information from the App.

4.4 No Pesticide Dosing Advice

AI Gardener will not provide specific pesticide application rates, mixing ratios, tank-mix combinations, or re-entry intervals. The pesticide label is the law — use pesticides only as directed on the EPA-approved product label (or the equivalent approved label in your jurisdiction). For guidance on application, contact the manufacturer, your state or local pesticide regulator, or your local cooperative extension service.

4.5 No Legal Advice

Nothing in the App constitutes legal advice. Do not rely on AI Gardener for decisions about property rights, local ordinances, or any other legal matter.

4.6 Weather Alerts

AI Gardener may display weather alert cards sourced from national weather agencies (including the US National Weather Service) via OpenWeatherMap. These alerts may be delayed, incomplete, or derived from forecast thresholds rather than official agency declarations. Do not rely on AI Gardener as your sole source of life-safety weather information. Always verify active weather alerts directly with weather.gov (US) or your local authority.

Sodalis AI LLC makes no warranty as to the accuracy, timeliness, or completeness of weather data or alerts displayed in the App and is not liable for any loss or harm arising from reliance on weather information in the App.

4.7 Acknowledgement

By using AI Gardener, you acknowledge that: (a) the App is a gardening information tool, not a safety authority; (b) you will seek emergency professional assistance immediately in any situation involving potential human or animal harm; (c) you will not rely on the App for edibility, dosing, or emergency decisions; and (d) you will verify weather alerts with authoritative sources before taking life-safety action.

5. Acceptable Use

You agree to use AI Gardener only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the App to generate, transmit, or store content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Attempt to circumvent, disable, or interfere with any security feature of the App or its backend services.
  • Use automated tools, bots, or scrapers to access or interact with the App.
  • Reverse engineer, decompile, or disassemble any part of the App.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use the App to collect or harvest any personally identifiable information about other users.
  • Use the App in any manner that could overload, damage, or impair our infrastructure.

We reserve the right to suspend or terminate access to users who violate these rules, at our sole discretion and without prior notice.

6. User Content

When you use AI Gardener, you may submit content including chat messages, garden descriptions, and photos ("User Content").

Your content, your responsibility. You retain ownership of your User Content. By submitting User Content, you grant Sodalis AI LLC a limited, non-exclusive, royalty-free licence to store, process, and transmit that content solely to operate and improve the App, as described in our Privacy Policy.

You are responsible for your User Content. You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

We are not obligated to monitor or review User Content, but we reserve the right to remove any content that violates these Terms.

7. Data Collection and Privacy

Your use of AI Gardener is subject to our Privacy Policy, which is incorporated into these Terms by reference.

By using the App, you consent to the collection and use of your information as described in the Privacy Policy. This includes the collection of your garden profile, conversation history, city-level location, and photos you choose to upload for plant diagnosis.

We do not use your data for advertising and do not sell your data to third parties.

8. Subscriptions and Payments

AI Gardener offers optional paid subscription plans ("Pro") that unlock additional features.

  • Subscriptions are billed through Apple's App Store. By subscribing, you agree to Apple's payment terms in addition to these Terms.
  • Current subscription pricing and features are described within the App and may change with reasonable notice.
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Manage or cancel your subscription in your Apple ID account settings.
  • Refunds are governed by Apple's refund policy. We do not issue refunds directly.
  • We reserve the right to modify, suspend, or discontinue any subscription tier with reasonable notice.

Free tier limits. The free tier of AI Gardener provides a limited number of AI conversations. When the free tier limit is reached, the App will display a prompt to subscribe in order to continue. Your garden profile and data are retained and remain accessible when you subscribe. Account controls, privacy policy, data deletion, and data export request paths remain accessible at all times regardless of subscription status.

9. Intellectual Property

All content, features, and functionality of AI Gardener — including its software, design, text, graphics, and AI models — are owned by Sodalis AI LLC or its licensors and are protected by applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in the App or its content beyond the limited licence to use the App as described here.

10. Disclaimer of Warranties

AI Gardener is provided "as is" and "as available" without warranties of any kind, express or implied.

To the fullest extent permitted by law, Sodalis AI LLC disclaims all warranties, including but not limited to: merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:
- The App will be uninterrupted, error-free, or secure.
- Any defects will be corrected.
- The App or its servers are free of viruses or other harmful components.
- AI-generated gardening advice will be accurate, complete, or suitable for your specific situation.
- Weather alerts displayed in the App will be timely, complete, or accurate.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Sodalis AI LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, AI Gardener — including but not limited to: loss of data, plant death or crop failure, property damage, or any reliance on AI-generated advice or weather alert information.

Our total liability to you for any claim arising under these Terms will not exceed the amount you paid to us in the 12 months preceding the claim, or $50, whichever is greater.

This limitation does not apply to: (a) liability for death or personal injury caused by our negligence; (b) liability for fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited under applicable law, including non-waivable statutory consumer rights under EU, UK, or other applicable consumer protection law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sodalis AI LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your User Content; (c) your violation of these Terms or any applicable law; (d) your misuse of pesticides or garden chemicals, including ignoring product label directions or applicable regulations; (e) your reliance on the App for purposes outside its stated gardening scope, including medical, veterinary, or emergency decisions; or (f) consumption of any plant, mushroom, or foraged item based on information from the App.

13. Governing Law, Arbitration, and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions.

Informal resolution. Before filing any formal claim, you agree to contact us at legal@sodalis-ai.com and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of AI Gardener — including questions about the existence, validity, or termination of these Terms — will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in Travis County, Texas, or remotely if agreed. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought individually, not as part of any class, collective, or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. Nothing in this clause affects your right to file a complaint with a regulatory authority.

Non-US and EU/UK users. Mandatory consumer protection laws in your country of residence may apply in addition to or instead of the above. Nothing in this clause limits rights you have under applicable law that cannot be waived by contract, including rights under EU Regulation 524/2013 on online dispute resolution.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by email at least 30 days before the changes take effect. Your continued use of AI Gardener after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the App and delete your account before the effective date.

15. Termination

We may suspend or terminate your access to AI Gardener at any time, for any reason, including violation of these Terms. You may terminate your account at any time via Settings → Delete Account.

On termination, your licence to use the App immediately ends. We will delete your personal data in accordance with our Privacy Policy.

16. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sodalis AI LLC regarding AI Gardener.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right.
  • Assignment. You may not assign your rights under these Terms. We may assign our rights without restriction.
